8 Indemnity 8.1 YOU AGREE TO INDEMNIFY AND HOLD Entec Polymers HARMLESS FROM ANY CLAIM OR DEMAND MADE BY ANY THIRD PARTY ARISING OUT OF YOUR USE OF THE Entec Polymers WEBSITE, YOUR USE OF ANY LINKS TO WEBSITES OPERATED BY THIRD PARTIES. YOU AGREE TO COOPERATE WITH Entec Polymers AND TO COMPLY WITH ITS REASONABLE INSTRUCTIONS TO LIMIT OR MINIMISE ANY LIABILITY OF Entec Polymers.

9 General 9.1 You may not transfer or sub-licence this Agreement. 9.2 Entec Polymers may transfer this Agreement to any person taking over the supply of the Entec Polymers website or any part of the Entec Polymers website. Entec Polymers may also sub-contract the provision of the Entec Polymers website or any part of the Entec Polymers website to any other person. 9.3 If any part of these terms and conditions between the parties is found to be illegal or unenforceable, this will not affect the validity and enforceability of the remainder of the Terms and Conditions. 9.4 Any delay or failure by either party in enforcing any right under the Agreement is not a waiver of that right and will not prevent that right or any other right or remedy from being exercised or enforced. 9.5 Nothing in this contract is intended to confer any rights on any third parties by virtue of the Contracts (rights of Third Parties) Act. 9.6 The provision of the Services and the application of these terms and conditions are governed by English Law and subject to the exclusive jurisdiction of the English Courts.
